These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Client," or "you") and BuiltUp Technologies LTD ("Company," "we," "us," or "our"), a company registered in England & Wales with its registered office at 86-90 Paul Street, 3rd Floor, London, United Kingdom, EC2A 4NE.
By accessing, downloading, installing, or using the BuiltUp platform, including our website (builtup.io), web application (app.builtup.io), browser extension ("BuiltClip"), and mobile applications for iOS and Android (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms.
2. Description of Services
BuiltUp is a construction management operating system designed for contractors, builders, and tradespeople. Our Services include, but are not limited to:
- Project management and scheduling.
- Estimating and quoting tools, including AI-powered scope generation.
- Invoicing and payment processing via third-party providers.
- Supplier catalog management and material sourcing.
- A browser extension ("BuiltClip") for capturing product data from third-party websites.
- Client and subcontractor portals.
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without notice or liability.
3. Account Registration & Security
3.1 Eligibility
You must be at least 18 years old and have the legal capacity to enter into contracts to use our Services. If you are using the Services on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.
3.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately of any unauthorized access to your account. BuiltUp Technologies LTD cannot and will not be liable for any loss or damage arising from your failure to comply with this security obligation.
3.3 Accuracy of Information
You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
4. Subscriptions, Billing, and Payments
4.1 Subscription Plans
We offer various subscription plans (e.g., Basic, Pro, Ultimate) as described on our pricing page. By selecting a paid plan, you agree to pay the fees indicated for that service.
4.2 Billing Cycle
Subscription fees are billed in advance on a monthly or annual basis, depending on your selection. Your subscription will automatically renew at the end of each billing cycle unless cancelled.
4.3 Payments
We use third-party payment processors (e.g., Stripe) to bill you. The processing of payments is subject to the terms and conditions of the payment processor in addition to these Terms.
4.4 Cancellation & Refunds
You may cancel your subscription at any time via your account settings. Cancellation will take effect at the end of the current paid term. All fees are non-refundable. We do not provide refunds or credits for partial months or years of service.
5. Use of Specific Features
5.1 BuiltClip (Browser Extension)
The BuiltClip extension allows you to scrape and save product data (images, prices, SKUs) from third-party supplier websites.
- Accuracy: You acknowledge that this data is scraped automatically and may be inaccurate or outdated. We are not responsible for pricing errors, stock discrepancies, or incorrect product details imported via BuiltClip.
- Third-Party Terms: It is your responsibility to ensure that your use of BuiltClip to capture data from third-party websites complies with those websites' own Terms of Service.
5.2 AI Features (Scope Generation)
Our AI features use large language models to assist in generating project scopes and estimates.
- No Guarantee: AI outputs are suggestions only. You acknowledge that AI can hallucinate or produce inaccurate results.
- User Responsibility: You are solely responsible for reviewing, verifying, and approving all AI-generated content before sending it to clients or using it for financial estimates. We accept no liability for errors in quotes or scopes resulting from reliance on AI.
6. Intellectual Property
The Services, including but not limited to the "BuiltUp" name, logo, code, design, text, graphics, and interactive features, are the property of BuiltUp Technologies LTD and are protected by copyright, trademark, and other intellectual property laws.
Your Content: You retain ownership of the data, files, and information you upload to the Services ("User Content"). By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, host, store, and display your content solely for the purpose of providing and improving the Services.
7. Acceptable Use Policy
You agree not to misuse the Services. Prohibited actions include, but are not limited to:
- Using the Services for any illegal purpose or in violation of any local, state, national, or international law.
- Reverse engineering, decompiling, or attempting to extract the source code of the software.
- Using the Services to transmit viruses, malware, or other harmful code.
- Attempting to gain unauthorized access to our systems or other users' accounts.
- Using the Services to send unsolicited communications (spam).

To the maximum extent permitted by law, in no event shall BuiltUp Technologies LTD be liable for:
- Any indirect, incidental, special, consequential, or punitive damages.
- Any loss of profits, data, use, goodwill, or other intangible losses.
- Any conduct or content of any third party on the services.
- Unauthorized access, use, or alteration of your transmissions or content.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENTS GIVING RISE TO THE LIABILITY, OR £100 GBP, WHICHEVER IS GREATER.

You agree to defend, indemnify, and hold harmless BuiltUp Technologies LTD and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:
- Your use and access of the Services;
- Your violation of any term of these Terms;
- Your violation of any third-party right, including without limitation any copyright, property, or privacy right.
11. Third-Party Links and Services
The Services may contain links to third-party websites or services (e.g., Supplier websites, Stripe) that are not owned or controlled by BuiltUp Technologies LTD. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that BuiltUp Technologies LTD shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of such content, goods, or services.
12. Termination
We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or delete your account via the settings page.
13. Governing Law
These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
14. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms.
